Website and Platform Terms
The rules for schools, staff and visitors using Academora.
Effective and last updated: 9 October 20261. Agreement and operator
These terms govern access to Academora, a service operated by Tomsphere Globaltech Ltd. By registering a school, accepting an invitation, signing in or using the website, you agree to these terms and the applicable Privacy Notice. If you act for a school, you confirm that you are authorized to bind that school.
2. Accounts and authority
- Account information must be complete, accurate and kept current.
- Users must keep passwords and sign-in links confidential and promptly report suspected compromise.
- A school administrator controls staff invitations and role assignments and must remove access when a person’s role ends.
- Accounts may not be shared, transferred, impersonated or used to obtain access beyond an assigned role.
- A parent or guardian must use only the identity and student information they are authorized to access.
3. School responsibilities
- The school remains responsible for the accuracy, legality and educational use of records submitted to Academora.
- The school must give appropriate privacy notices and obtain parent or guardian consent where consent is required.
- The school must configure assessment, grading, promotion and publication rules and independently review results before approval.
- The school must maintain accurate parent contacts and banking/settlement information.
- The school must not instruct Tomsphere to process information unlawfully or outside the contracted service.
4. Result workflow
Academora provides tools for score entry, class-teacher review, result locking, principal or proprietor approval, publication, notification and controlled correction. Publication does not occur until an authorized school user approves it. A notification failure does not reverse publication; delivery and retry status are tracked separately. Only an authorized administrator may unlock a locked result for correction. The school is responsible for every academic decision and published result.
5. Subscriptions
Term subscriptions are based on active-student capacity: up to 300 students for NGN 300,000; 500 for NGN 500,000; 1,000 for NGN 1,000,000; 1,500 for NGN 1,500,000; and 2,000 for NGN 2,000,000 per term.
A term subscription is separate from e-token pricing and the 10% Tomsphere e-token service fee. The order presented to a school at checkout forms part of these terms. A school must select sufficient capacity and may be required to upgrade before adding students above its plan limit.
6. Payments and e-tokens
Subscription payments, e-token arrangements, Paystack charges, settlement, permitted views, refunds and chargebacks are governed by the E-token, Payment and Refund Terms. Prices are stated in Nigerian naira unless otherwise shown.
7. Acceptable use
Users must comply with the Acceptable Use Policy. We may restrict or suspend access reasonably believed to threaten security, violate law, harm another person or materially breach these terms. Where practicable, we will notify the affected school and allow a reasonable opportunity to remedy the issue.
8. Intellectual property
Tomsphere owns Academora’s software, interface, branding and documentation, excluding school content and third-party materials. Each school retains rights in its records and grants Tomsphere the limited permission necessary to host, process, secure and transmit them to provide the service. No user may copy, reverse engineer, resell or create a competing service from Academora except where applicable law expressly permits.
9. Availability and support
We work to keep Academora secure and available, but maintenance, telecommunications failures, provider outages and events outside reasonable control may interrupt service. Any service-level commitment stated in a separately signed school agreement takes priority over this general clause.
10. Liability and legal rights
Nothing in these terms excludes liability that cannot lawfully be excluded or limits any non-waivable consumer or data-protection right. To the extent permitted by law, each party is responsible for loss caused by its breach, negligence, unlawful instructions or misuse. Any additional liability allocation in a signed school agreement takes priority for that school.
11. Ending access
A user may stop using Academora at any time. A school may end its subscription under its order or school agreement. Tomsphere may suspend or terminate access for material breach, unlawful use, security risk or unpaid fees, with notice where reasonably possible. Handling of school information after termination follows the applicable school agreement and Privacy Notice.
12. Governing law and changes
These terms are governed by the laws of the Federal Republic of Nigeria. The parties should first try to resolve disputes through the complaint process before commencing formal proceedings. We may update these terms prospectively; material changes will be displayed with a new effective date and, where appropriate, notified to account administrators.
